Ordify AI Terms of Service

1. License and Use of Services

Subject to your compliance with these Terms, Ordify grants you a limited, non-exclusive, non-transferable license to use the Services for your personal or business purposes. You agree not to: a) Copy, modify, or create derivative works of the Services; b) Reverse engineer, decompile, or disassemble the Services; c) Sell, resell, or sublicense the Services; and/or d) Use the Services for any unlawful purpose. You may not: attempt to gain unauthorized access to any portion of the Services; use automated scripts or bots to access our Services unless explicitly authorized; or use our Services in a manner that exceeds reasonable usage limits. We reserve the right to modify, suspend, or discontinue the Services or any part thereof at any time, with or without notice. You must be at least 18 years old to use our Services. By agreeing to these Terms, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

2. User Content and Data

You retain ownership of any content you input into the Services ("User Content"). By using the Services, you grant Ordify a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your User Content in connection with providing and improving our Services. You are solely responsible for the accuracy, completeness, and reliability of all User Content you input into the Services. Ordify is not responsible for any errors, omissions, or inaccuracies in the Services' output resulting from incorrect or incomplete User Content. You acknowledge that we may use anonymized and aggregated User Content to train, tune, and improve our AI models and Services. If you do not wish your data to be used for training purposes, please refer to our opt-out procedures in our Privacy Policy.

3. Data Protection

Ordify will protect your User Content in accordance with our Privacy Policy and applicable data protection laws.

4. Privacy and Security

Our collection and use of personal information in connection with the Services is described in our Privacy Policy as set forth on our website. Ordify implements appropriate technical and organizational measures to protect your data. However, no method of transmission over the internet or electronic storage is 100% secure, and we cannot guarantee absolute security. In the event of a personal data breach, we will notify affected users and relevant authorities as required by applicable law, including GDPR.

5. Account Registration

To access certain features of our Services, you may need to register for an account. When registering, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.

6. User Rights

Where applicable under GDPR or other data protection laws, you have the following rights: (i) right to access your personal data: (ii) right to rectification of inaccurate personal data; (iii) right to erasure of your personal data; (iv) right to restrict processing of your personal data; and (v) right not to be subject to automated decision-making, including profiling. 7. Subscription and Payments

You agree to pay all fees associated with the Services. Fees are non-refundable except as required by law or as explicitly stated in these Terms. We will bill you through Stripe's payment processing services. By using our Services, you also agree to Stripe's Services Agreement. You agree to pay using the payment method you provide and to keep your billing information current. If you participate in a free trial, you must cancel your subscription before the end of the trial period to avoid incurring charges.

8. Termination

You may stop using the Services at any time. If you terminate a subscription, you will continue to have access until the end of your current billing period. Ordify may suspend or terminate your access to the Services if you violate these Terms or if we are required to do so by law.

9. Warranties and Limitations of Liability

The Services are provided "as is" without any warranties, express or implied. Ordify does not warrant that the Services will be uninterrupted or error-free. ORDIFY DOES NOT MAKE ANY WARRANTY REGARDING THE OUTPUTS THAT MAY BE GENERATED FROM USE OF GENERATIVE AI FEATURES, INCLUDING WITH RESPECT TO THE ACCURACY OF ANY OUTPUTS. IT IS UP TO THE USER TO REVIEW ALL OUTPUTS AND DETERMINE THE SUITABILITY OF THE CONTENT FOR YOUR USE CASE. YOU UNDERSTAND AND AGREE THAT YOUR USE OF ANY GENERATIVE AI OUTPUTS IS DONE AT YOUR SOLE RISK. NO INFORMATION OR ADVICE, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

You acknowledge that: our AI Services may produce inaccurate, offensive, or incomplete output. AI technology is inherently experimental and evolving and we do not guarantee that our AI will produce any specific output or meet your specific requirements.

To the maximum extent permitted by law, Ordify's total liability to you for any damages arising out of or related to these Terms or the Services will not exceed the amount you paid for the Services in the 6 months preceding the claim. ORDIFY AI CORPORATION WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. Indemnification

You agree to indemnify and hold Ordify harmless from any claims, losses, or damages, including legal fees, arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

11. Privacy

1. EU Standard Contractual Clauses. To the extent applicable, the parties will abide by the requirements of European Economic Area and Swiss data protection law regarding the collection, use, transfer, retention, and other processing of Personal Data from the European Economic Area and Switzerland. All transfers of Customer Data out of the European Union, European Economic Area, and Switzerland will be governed by the Standard Contractual Clauses, as designated by the European Commission, made available by the Publisher at the applicable URL for such terms or as otherwise communicated to you.
2. Personal Data. You consent to the processing of Personal Data by Ordify and its Affiliates, and their respective agents and Subcontractors, as provided in this Agreement. Before providing Personal Data, you will obtain all required consents from third parties (including your contacts, partners, distributors, administrators, and employees) under applicable privacy and Data Protection Laws.
3. Processing of Personal Data; GDPR. To the extent Ordify is a processor or subprocessor of Personal Data subject to the GDPR, the Standard Contractual Clauses govern that processing and the parties also agree to the following terms in this subsection ("Processing of Personal Data; GDPR").

12. Intellectual Property Rights

The Services, including all software, designs, and content created by Ordify, are protected by copyright, trademark, and other laws. Ordify AI Corporation retains all rights not expressly granted in these Terms. Except for this limited license, Ordify reserves all right, title, and interest in our products, trademarks, logos, and other brand features. If you provide feedback or suggestions about the Services, you grant Ordify a non-exclusive, perpetual, irrevocable, transferable license to use that feedback without restriction.

You acknowledge that the output and results generated by our AI Services ("AI Output") are not works of human authorship. Subject to your compliance with these Terms, we grant you a license to use AI Output for your permitted purposes. Depending on your subscription tier, different rights and restrictions may apply to commercial use of AI Output.

13. Force Majeure

Ordify will not be responsible for failure to perform in a timely manner under the Agreement when its failure results from events beyond its reasonable control (an event of "Force Majeure"), including acts of God, epidemics, acts of war whether declared or undeclared, actions by any governmental agency or authority (whether valid or invalid), blockades, labor disputes (whether of Ordify's employees or the employees of others), raw material shortages and material increases in costs of raw materials. In the event of Force Majeure, the time for performance will extend for such time as reasonably necessary to enable Ordify to perform.

14. Miscellaneous

Ordify may modify the Services or these Terms at any time. Your continued use of the Services after such modifications constitutes your acceptance of the modified Terms. Nothing contained in this Agreement shall be construed as an obligation to enter into any further agreement. This Agreement is to be construed and interpreted in accordance with the laws of the State of Delaware, excepting its conflict of laws provisions. The Parties hereby submit to the jurisdiction of the state and federal Delaware courts. You may only resolve disputes with us individually. That is, you may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations aren't allowed.
